FinClose — End-User License Agreement

1. Parties and scope

This End-User License Agreement ("Agreement") governs use of FinClose ("the Software"), a private internal financial-close application owned and operated by E1 Technology, Inc. ("E1"). The Software is used exclusively by E1 personnel and E1's engaged accounting professionals in connection with E1's own books and records. It is not offered, sold, licensed, or distributed to the public.

2. Licence grant

E1 grants authorized E1 personnel and engaged professionals a non-exclusive, non-transferable, revocable licence to use the Software solely for E1's internal accounting operations. No other licence is granted, express or implied.

4. Intuit services

The Software connects to Intuit's QuickBooks Online APIs under authorization granted by an E1 administrator. Intuit is not a party to this Agreement and provides no warranty in respect of the Software. Use of QuickBooks Online remains governed by E1's own agreement with Intuit. E1 is solely responsible for the accuracy of data written to its ledger by the Software.

5. Accounting responsibility

The Software is a processing and reconciliation aid. It does not provide accounting, tax, audit, or legal advice. All entries proposed by the Software remain subject to review and approval by a qualified person before they are relied upon, and E1 retains full responsibility for its financial statements and filings.

6. Data

Data handling is described in the FinClose Privacy Policy, which forms part of this Agreement.

7. Intellectual property

The Software and all associated materials remain the property of E1. No ownership rights transfer under this Agreement.

8. No warranty

The Software is provided "as is", without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, E1 shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Software.

10. Termination

E1 may revoke access to the Software at any time and for any reason. Authorization to access QuickBooks Online may be revoked from within QuickBooks Online at any time, which immediately terminates the Software's access.

11. Governing law

This Agreement is governed by the laws of the State of California, United States, without regard to its conflict-of-laws provisions.
